Artificial Intelligence Terms of Service

These AI Supplemental Terms (this "Addendum") form part of, and are governed by, the TMS Media Terms of Service (the "Agreement,") last updated on the date listed above. By accessing or using any TMS Media generative-AI or GPT-based functionality ("AI Features"), you agree to be bound by this Addendum. If you do not agree, you may not use the AI Features. In case of conflict, this Addendum controls solely with respect to your use of AI Features.

 

1. Scope of AI Features

TMS Media AI provides creative-assistance tools that help clients generate ideas, scripts, and marketing content for business and educational purposes. The AI Features are informational and creative-support tools only and do not constitute professional, legal, therapeutic, or financial advice.

 

2. Use of AI Features

Your access to and use of AI Features are subject to:

 

(a) this Addendum;

(b) the Terms of Service;

(c) the Acceptable Use Policy; and

(d) any documentation or guidelines TMS Media makes available.

 

You agree to use AI Features only for lawful business purposes and in compliance with all applicable laws.

 

3. Inputs and Outputs

You may submit text, data, files, or other materials ("Inputs") and receive generated text, images, or other content ("Outputs").

 

  • You are solely responsible for your Inputs and for verifying the accuracy, legality, and suitability of all Outputs.
  • Outputs are generated by automated systems and may contain inaccuracies, bias, or omissions. They are provided for illustrative and educational purposes only.

 

You must independently verify any Output before relying on it for business, regulatory, or compliance purposes.

 

4. Ownership of Inputs and Outputs

 

As between you and TMS Media:

 

  • You retain ownership of your Inputs, which are deemed "Client Content" under Section 9 (Intellectual Property) of the Terms of Service.
  • You grant TMS Media a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, and process Inputs as reasonably necessary to operate, maintain, and improve the AI Features and to comply with law.
  • Outputs may not be unique; similar Outputs may be generated for other users. You own any portion of an Output that is unique solely to you. Any portion incorporating TMS Media proprietary materials remains the property of TMS Media under Section 9 of the Terms.

 

5. Training and Data Use

TMS Media may use anonymized Inputs and Outputs internally to maintain and improve its proprietary models. TMS Media does not sell Inputs, disclose them to other clients, or use them for public model training.

 

All personal data processing is governed by Section 11 (Privacy & Data Protection) of the Terms of Service.

 

6. Prohibited Uses

In addition to the restrictions in the Acceptable Use Policy (Terms of Service, Section 10), you will not use any AI Feature to:

 

  • Develop or train competing AI models or services.
  • Misrepresent Outputs as human-generated.
  • Generate content that is illegal, fraudulent, defamatory, deceptive, or infringing.
  • Create deepfakes or impersonate individuals without consent.
  • Include or disclose confidential information, trade secrets, or sensitive personal data without authorization.

 

TMS Media may suspend or terminate access for violations and report unlawful use to authorities.

 

7. Disclaimers and Limitations

ALL AI FEATURES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TMS MEDIA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

 

TMS Media's liability for any claim arising from AI Features is limited as set forth in Section 13 (Disclaimers & Limitations of Liability) of the Terms of Service.

 

8. Governing Law and Arbitration

All disputes arising from or relating to this Addendum are governed by the laws of British Columbia and resolved exclusively through binding individual arbitration under Section 15 of the Terms of Service in British Columbia.

 

The arbitrator has exclusive authority to determine arbitrability. Class or representative actions are not permitted. The arbitration award shall be final and may be entered in any court with jurisdiction.

 

9. Integration and Modification

This Addendum is incorporated into and forms part of the Agreement, along with the Program Agreement, Viral Creator Club Membership Agreement and Terms, Staffing Terms, Testimonial Addendum, Acceptable Use Policy, and Privacy Policy.



TMS Media may update this Addendum at any time by posting a revised version at https://courses.tmsmedia.io/Ai-Terms and updating the "Last Updated" date. Continued use of AI Features constitutes acceptance of the revised Addendum.
